Terms of Service

This Terms and Conditions of Service ("Agreement") is a contract between Chippop and you ("User", "you") governing your access to and use of our online store management platform, parcel delivery service and other related services ("Services") through our website and application. By creating an account or using any services on our platform, you are deemed to have read, understood and agreed to be bound by this Agreement in all respects. Use of this Service is subject to our Privacy Policy.


1. Definition

"SHIPPOP OMS" means the software and systems developed and licensed by Shippop for use in managing online stores, including but not limited to the Order Management System, Inventory Management System, and Customer Information Management System.

"SHIPPOP OMS Service" means the right to access and use the functions on the SHIPPOP OMS platform as defined in Section 3, whereby SHIPPOP reserves the right to provide such services free of charge or to change the terms of service as SHIPPOP deems appropriate.

“Delivery Service” means the parcel delivery service chosen by the User through the Shippop Platform, which Shippop provides in conjunction with its certified delivery partners (“Carriers”), for which such service is charged at the rates set out in Section 4 or as posted on the Platform.

"User Data" means all types of data that a User uploads, creates, stores, or processes through the SHIPPOP OMS Platform, including, but not limited to, the User's customer personal data, order lists, and any other business information of the User.


2. Terms of Service

2.1. You represent and warrant that you have the following qualifications: in the case of a natural person, you are 20 years of age or have reached the age of majority as otherwise prescribed by law and have full capacity to enter into a contract; in the case of a juristic person, you, as the registrant, are legally authorized to act on behalf of that juristic person, and your acceptance of this agreement is an act to bind that juristic person in accordance with the terms and conditions of this agreement.

2.2. You agree to provide accurate, current, and complete information when registering for use and to keep such information up-to-date at all times. If Shippop finds that the information you have provided is incorrect, incomplete, or false, Shippop reserves the right to suspend or terminate the Service to you without prior notice.

2.3. The User is responsible for verifying the accuracy of all data imported or received from the SHIPPOP OMS system before use and for regularly backing up the User's data.

2.3. You are responsible for maintaining the confidentiality of your username and password and are responsible for all activities that occur under your account, whether or not such activities are authorized by you. If you become aware or suspect that your account has been accessed or used without authorization, you must immediately notify Shippop so that Shippop can take appropriate preventative or corrective action. Shippop will use reasonable technical security measures to prevent unauthorized access to your account.

2.4. You agree to use SHIPPOP OMS only for lawful purposes and will not use the service in any way that may violate any law, regulation, or other person's rights, or engage in fraud, deception, or misrepresentation of information, selling or promoting illegal products, products that infringe on others' copyrights, trademarks, or intellectual property, or disseminating false information or information that threatens national security or violates public order and morality. Shippop reserves the right to suspend or terminate the accounts of any user who violates this provision without prior notice.


3. SHIPPOP OMS service (free of charge)

3.1. Shippop hereby grants you the right to access and use the "SHIPPOP OMS" service on an "As Is" and "As Available" basis to help manage your online store without any service charge. This is subject to change in accordance with the terms and conditions set by Shippop, with prior notice given.


3.1. Shippop hereby grants you the right to access and use the “SHIPPOP OMS Service” to help manage your online store free of charge. This service is subject to change in accordance with the terms and conditions set by Shippop, with prior notice.


3.3. Shippop does not warrant or make any representations that the SHIPPOP OMS service or any related functions (including any system components, website, or server used to provide the service) will be uninterrupted, accessible, secure, accurate, complete, or error-free. SHIPPOP OMS is provided as a convenience to you. Users understand and accept that use of the SHIPPOP OMS is at their own discretion and responsibility. Zippop shall not be liable for any damages, whether express or implied. We and our affiliated companies shall not be liable for any direct, indirect, special, consequential, or punitive damages arising from the use or inability to use the SHIPPOP OMS service, including but not limited to lost data, lost revenue, business interruption, or lost commercial opportunity, even if advised of the possibility of such damages, unless caused by willful misconduct or gross negligence.


4. Transportation services (services with a fee)

4.1. You agree to comply with the shipping terms and pay the shipping charges at the rates shown on SHIPPOP https://www.shippop.com/terms At the time of transaction, Shippop reserves the right to change the service rates with reasonable notice.

4.2. You are responsible for completing and properly carrying out the following tasks: Packing the parcel to be strong, safe, and appropriate for the nature of the product; Addressing the sender and recipient correctly, completely, and clearly; Declaring the type and value of the product truthfully; and abide by the terms and conditions of the carrier you choose to use. However, in the event that you neglect or improperly comply with any of the above, Shippop and/or the carrier reserve the right to refuse to accept the parcel or suspend the service without being liable for any damages that may occur.

4.3 Shippop will be liable for any damage, loss, or loss of value of the parcel that is directly caused by Shippop's service only. Compensation will be based on the actual value of the damage, but not exceeding 2,000 baht per delivery. In the event that you choose to use the services of a partner carrier, liability for damage or loss of the parcel will be in accordance with the terms and conditions of the relevant carrier. However, you may choose to purchase additional insurance services from us or the carrier. Shippop and/or the carrier reserves the right to change or amend such terms and conditions, and will notify you through any public relations channels that Shippop deems appropriate. It is your responsibility to review, understand, and accept the terms and conditions before using the service each time. However, Shippop and/or the carrier will not be liable for any damages resulting from force majeure, events beyond the control of the business, or the user's own actions or omissions, including but not limited to improper parcel packaging, providing incorrect information, or violating relevant laws.


5. Personal information

5.1. You represent and agree that you are the “Data Controller” of your customers’ personal data, which you collect, use, or disclose through the SHIPPOP OMS platform. Such action is considered lawful under the Personal Data Protection Act B.E. 2562 (2019). You agree and authorize Shippop, as the “Data Processor,” to access, collect, use, or process your customers’ personal data for the purposes of providing services under this Agreement, including for the purposes of data analysis, service quality improvement, marketing communications, and sales of products and services by Shippop or its business partners, via telephone, email, text message, or other appropriate channels. Shippop will process such personal data only within the necessary scope, purposes, and period of time, as well as in accordance with Shippop’s Privacy Policy posted on the platform. Shippop will proceed with caution and implement appropriate data security measures to prevent unauthorized access, use, or disclosure of data. You are responsible for providing complete and accurate notifications and consents from personal data owners, as required by law, before entering data into the system and allowing Shippop to use our services.

5.2. The User agrees to defend and indemnify Chippop from any claims, losses, or expenses arising from the User's failure to comply with its duties as a personal data controller under the law.


6. Intellectual property

All software, computer code, content, text, images, graphics, user interfaces, logos, trademarks, trade names, service names, and all other elements on the SHIPPOP OMS Platform are the exclusive intellectual property of Shippop Co., Ltd. or its licensors, and you do not acquire any right, ownership, or title to such intellectual property, other than the right to access the Service pursuant to this Agreement. You may not reproduce, modify, adapt, sell, distribute, or commercially exploit any such intellectual property without the prior written permission of Shippop.


7. Suspension and cancellation of service

7.1 Shippop reserves the right to suspend or terminate your account immediately without prior notice if Shippop has reasonable grounds to believe that you have violated this Agreement or have engaged in behavior that poses legal risks or damages to Shippop's reputation. Shippop shall not be liable for any damages that may be incurred by you as a result of such suspension or termination.

7.2 You may cancel your use of the SHIPPOP OMS service by giving Shippop at least 7 business days' written notice in advance. The cancellation of the service will be effective once Shippop has verified and confirmed the cancellation. Shippop reserves the right to collect any outstanding service fees or charges (if any) prior to the effective date of the cancellation.

7.3 When the cancellation of the service is effective

(1) Your right to access and use the SHIPPOP OMS system will terminate immediately.

(2) Shippop may delete, suspend or destroy your account information and data within the system according to Shippop's timeframe and policy, and will do so in accordance with the principles of personal data protection in accordance with the law.

(3) Termination of the Service shall not affect any rights, duties or liabilities of the contracting parties that arose prior to the termination.

(4) Any provisions of this Agreement which by their nature or intention should survive termination shall survive termination, such as confidentiality, data protection, and limitations of liability provisions.


7. General requirements

7.1. Shippop reserves the right to amend or modify this Agreement by giving reasonable advance notice to the User via registered email or other communication channels as Shippop deems appropriate. Your continued use of the Service after such amendments are deemed to be your complete acceptance and agreement to be bound by such amended Agreement.

7.2. This Agreement shall be governed by and construed in accordance with the laws of the Kingdom of Thailand.
